Licence Terms

Licence Terms for Drive Snapshot

1. Scope

(1) These licence terms apply to the use of the software "Drive Snapshot" (hereinafter "Software"), licences for which are offered by ondeso GmbH, Osterhofener Str. 16, 93055 Regensburg, Germany (hereinafter "ondeso"), via the online shop shop.ondeso.com.

(2) They supplement the General Terms and Conditions (T&Cs) of the online shop. Under section 6 of the T&Cs, the scope of the rights of use follows from the product description, which refers to these licence terms. In the event of conflict, these licence terms take precedence with regard to the use of the Software. Mandatory statutory rights of consumers remain unaffected.

2. Subject of the licence

(1) Each licence entitles the customer to use the Software on one machine (physical or virtual computer). A separate licence is required for each machine to be backed up with the Software.

(2) The Workstation licence applies to Windows workstation operating systems. A Server licence is required for every machine running a Windows Server operating system.

(3) The licence is provided as a licence file by email and is also shown in the customer account. The program files are available for download in the customer account.

(4) The Software does not technically limit the number of machines, the term or the purpose of use. The customer is nevertheless obliged to use the Software only within the scope of the licences purchased and of these licence terms.

3. Licence models and right of use

(1) Personal licence. Upon full payment, ondeso grants the customer a simple, non-exclusive right, limited to 60 months, to use the Software within the scope of section 2 for private purposes only within the meaning of paragraph 3; any commercial use requires a Business licence. The term begins on the day the licence data is provided and ends at the end of the day before the corresponding calendar day after 60 months (example: licence data provided on 14 October 2026 – ends on 13 October 2031). During the term, the Personal licence includes updates but no support (see section 4).

(2) Business licence. Upon full payment, ondeso grants the customer a simple, non-exclusive right, limited to the agreed term, to use the Software within the scope of section 2 for commercial and private purposes. Depending on the licence purchased, the term is 12 or 36 months and begins on the day the licence data is provided; it ends at the end of the day before the corresponding calendar day after 12 or 36 months (example: licence data provided on 12 October 2026, term 12 months – ends on 11 October 2027). The end of the term is stated in the licence email, on the invoice and in the customer account.

(3) Private and commercial use.
a) Commercial use is any use in connection with a trade, business or self-employed professional activity, including work for an employer or client (e.g. working from home).
b) If a computer is also used for an activity under letter a (mixed use), a Business licence is required for that computer.
c) Use by or for organisations – in particular associations and non-profit organisations, schools, universities and public authorities – is commercial use. Pupils and students may use the Personal licence on their own computer for school, training and studies, as long as the computer is not also used under letter a.
d) The licence type only determines the scope of the right of use. Whether the customer is a consumer or a business and which statutory rights they have, in particular the right of withdrawal, is determined solely by the statutory provisions and not by the licence type chosen.

(4) The Personal licence and the Business licence do not renew automatically; the right of use ends when the term expires, without any notice of termination being required. To continue using the Software, the customer purchases a new licence. The customer may terminate the contract at any time with effect from the end of the term, including via the button “Cancel contracts here” in the online shop. Until the end of the term, the right of use and updates remain in place, and for the Business licence also support; there is no pro-rata refund. The right to terminate for good cause remains unaffected.

(5) Trial version. Without a licence file, the Software can be used as a time-limited trial version; it serves solely to test the Software before purchase. After the trial period, existing backups can still be browsed and restored, but no new backups can be created. There is no entitlement to updates or support for the trial version provided free of charge; liability is governed by the statutory provisions on gifts (sections 521, 524 German Civil Code).

4. Updates and support

(1) Personal licence: during the term, the licence covers all new program versions of the Software released until the end of the term. Support is not owed.

(2) Business licence: during the term, the licence covers all new program versions of the Software released until the end of the term, as well as support by email to support@ondeso.com regarding installation, licensing and operation of the Software to the usual extent. After the term has expired, there is no entitlement to updates or support.

(3) Statutory update obligations towards consumers (sections 327f et seq. German Civil Code) remain unaffected in any case.

5. Transfer to another computer

The customer may transfer the licence to another machine (e.g. when replacing or reinstalling a computer) if the Software is no longer used on the previous machine. Simultaneous use of the same licence on several machines is not permitted.

6. Transfer to third parties

(1) The customer may permanently transfer the licence to a third party if the customer completely and permanently ceases to use the Software, deletes all copies of the Software and the licence file in their possession, and the third party agrees to these licence terms. If an order comprises several licences, this applies to each individual licence; ondeso will issue separate licence files on request.

(2) The customer notifies ondeso of the transfer in text form, stating the serial number.

(3) A Personal licence may only be transferred for private, non-commercial use by the acquirer. The acquirer takes the place of the customer for the remaining term.

(4) Renting, temporary provision and sublicensing to third parties are not permitted.

7. Mandatory rights

The customer's rights under sections 69d and 69e of the German Copyright Act (in particular making a backup copy, correcting errors and decompiling to achieve interoperability) remain unaffected.

8. Obligations of the customer

(1) The customer protects the licence file against access by unauthorised persons.

(2) The Software is used for data backup. The customer is responsible for regularly checking the backups created for completeness and recoverability (e.g. by a consistency test and a test restore).

9. Warranty and liability towards businesses

(1) For consumers, the statutory provisions apply (sections 327 et seq. German Civil Code).

(2) Towards businesses, the provisions of the T&Cs on liability for defects apply accordingly to the provision of the licence; the limitation period for claims for defects is one year from the provision of the licence.

(3) Towards businesses, ondeso is liable for the loss of data only to the extent that would have occurred with proper and regular data backup and checking of the backups by the customer (section 8 (2)). Otherwise, the liability provisions of the T&Cs apply.

10. Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods; mandatory consumer protection provisions of the country of residence remain unaffected. The place of jurisdiction for merchants is Regensburg.
